Annual Returns & A.G.M. Minutes
Under Company Law, every company is required to file an Annual Return at the Companies Registration Office (CRO). The officers of the company must also ensure that an Annual General Meeting and, where necessary, an Extraordinary General Meeting is held and the appropriate Minutes taken.
With the CRO and the Office of the Director of Corporate Enforcement (ODCE) expected to increase their scrutiny on companies who do not file their Returns on time, it would be prudent to ensure compliance on this matter.
Company Strike-Offs
At the end of a company’s life, the company must be formally struck-off the register. This is a lengthy, but essential, process. At C.A.G. we will prepare all the necessary documentation and take all the necessary steps towards the dissolution of the company.
Business Name Registration
Any company who wishes to trade under a name which is different to the name under which they were incorporated, must register a Business Name at the CRO.
Share Restructuring
Whether this involves a share allotment, share transfer, increase in issued share capital or the introduction of a new class of shares, C.A.G. are equipped to make the necessary alterations.
Changes to Directors/Secretary/Registered Office
C.A.G. can arrange for changes to be made within the company almost immediately upon receiving the instruction.
Changes to Company Name/Company Objects
There may be a time in a company’s life when a change of name or change of objects is required. C.A.G. are on hand to carry out the desired changes in the quickest possible time.
Nominee Secretary/Shareholder
Many companies prefer to have an independent, professional party involved in the running of the company. C.A.G. can bring impartiality, as well as acting as a sounding board on both legal and corporate governance matters.
We can also arrange for shares to be held in trust on behalf of a beneficial owner.
Non-Resident Directors Bonds
Companies who do not have an Irish resident director are required by law to obtain a bond. This bond provides for the payment of fines and penalties which may arise under the Companies Acts. C.A.G. can see to the implementation of such a bond.
